AdPredictive Terms of Service

These Terms and Conditions (“Agreement”) govern access to and use of the Addi platform (“Platform”), created and provided by InRadio, Inc. d/b/a AdPredictive (“AdPredictive,” “we,” “us,” or “our”). The Agreement applies to all associated features, functionalities, websites, interfaces, applications, and services related to the Platform (collectively referred to as the “Services”). Individuals or entities using the Platform (“you”) and AdPredictive may be referred to individually as a “Party” or collectively as the “Parties.” By accessing, using, or copying any part of the Platform, you acknowledge that you have read, understood, and agreed to these Terms. You confirm that you have the authority to enter into this Agreement, either as an individual or on behalf of an entity. If you do not agree to these Terms or are under 18 years old, you must stop using the Platform immediately. 

The Platform is designed to assist you in planning and preparing media, marketing, and advertising content and strategies (“Purpose”). AdPredictive provides access to the Platform to fulfill this Purpose in accordance with the terms of this Agreement. AdPredictive grants you a non-exclusive, non-sublicensable, limited license to use the Platform. Access will be granted to you through secure login credentials. You are responsible for safeguarding your credentials, which must not be shared or transferred between users or with third parties. If any unauthorized access or misuse of credentials occurs, you must notify AdPredictive immediately, and AdPredictive reserves the right to suspend access until the issue is resolved.

AdPredictive retains ownership of all intellectual property rights, including trademarks, copyrights, software, metadata and any proprietary technology associated with the Platform or use of the Platform. You agree not to copy, modify, or reverse-engineer any part of the Platform. Unauthorized use of AdPredictive’s intellectual property or content available through the Platform is strictly prohibited. You are granted a non-sublicensable, limited license to access the Platform for your work towards the Purpose. 

Any content or data uploaded by you to the Platform (“User Content”) remains your property. By uploading, submitting, or otherwise making User Content available on the Platform, you confirm and warrant that you either own the rights to the User Content or have obtained all necessary permissions, licenses, and authorizations to use and share such User Content. You are solely responsible for the User Content and ensuring it does not infringe any third-party copyrights, trademarks, or intellectual property rights. AdPredictive assumes no responsibility for monitoring User Content but reserves the right to remove or disable access to User Content that may infringe upon the intellectual property rights of others without prior notice. You agree to indemnify, defend, and hold harmless AdPredictive, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising from User Content uploaded by you, alleged infringement of third-party rights, or any violation of these Terms of Service. If any content hosted on the platform is believed to infringe copyright, a complaint must be submitted to support@addi.ai, and upon receiving a valid notice, we will promptly remove or disable access to the allegedly infringing material and notify the Client responsible. By uploading User Content, you grant AdPredictive a perpetual, non-exclusive, royalty-free license to use, store, and process the User Content. Any outputs generated by the Platform through the use of User Content are the exclusive property of the brand or subject of the output. Your use of the Platform may involve the integration with, or access to, third-party services, products, software, or content (“Third-Party Services”). These Third-Party Services are provided solely by their respective owners or operators, and AdPredictive has no responsibility for their performance, availability, accuracy, or functionality. Your use of any Third-Party Services is at your own risk, and subject to the applicable terms and conditions, privacy policies, or service agreements of those third parties. You are solely responsible for complying with these third-party terms. AdPredictive reserves the right to modify, suspend, or discontinue the integration of any Third-Party Services at any time without prior notice, and it shall not be liable for any unavailability, downtime, or changes in the performance of such services. You will use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. Specifically, you agree not to upload malicious code or viruses, attempt to breach Platform security, or engage in fraudulent or illegal activities.

The Platform is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. AdPredictive does not warrant that the Platform will meet your requirements, achieve any intended results, operate without interruption, be compatible or work with any other software, systems, or services, or be secure, accurate, complete, or error-free. AdPredictive expressly disclaims any responsibility for the accuracy, reliability, or availability of the Platform. Furthermore, AdPredictive shall not be liable for any Third-Party Services that may be incorporated, accessed, or used in conjunction with the Platform, and makes no representations or warranties with respect to such Third-Party Services.

You agree to grant AdPredictive the right to utilize your name, associated business logo, and Platform outputs for AdPredictive marketing materials to be shared publicly. The use of these materials will include, but is not limited to, case studies, white papers, articles and any other media or communication as deemed relevant by AdPredictive that pertains to nonconfidential aspects of the work performed in the Platform. 

This Agreement is governed by the laws of Missouri, and any disputes will be resolved through binding arbitration, with you waiving your right to participate in class actions. AdPredictive may modify these this Agreement at any time. Continued use of the Platform after such changes constitutes acceptance of the revised Agreement. AdPredictive is not liable for delays or failures due to events beyond its control, such as natural disasters or internet outages.
